CORPORATE HISTORY

Ryker was incorporated under the Canada Business Corporations Act (“CBCA”) on March 22, 2018 as a wholly Canadian company. (“Ryker”) for the purposes of completing a plan of arrangement under the CBCA in accordance with the terms of the arrangement agreement entered, and pursuant to the court approved plan of arrangement. 

Ryker and its wholly-owned subsidiaries that directly or indirectly hold the Tesoro de la Luna Project, along with $3.0 million in cash (the “Arrangement”). The final order approving the Arrangement by the Supreme Court of British Columbia was obtained on June 24, 2019, and the Arrangement became effective at 12:01 a.m. (Vancouver time) on July 17, 2019.
